Mission Statement & By-Laws

 

 

Mission Statement

The mission of the Abilene Disc Golf Association is to promote the sport of disc golf in Abilene Texas and the surrounding area.

 

Bylaws

I.  Name

            1.  The name of the association shall be Abilene Disc Golf Association.

 

II. Membership

1.  There are 2 categories of membership:  Active and Non-active.

2.      An active member is a member whose dues are current.  A non-active member is a member whose dues are not current.

3.      Membership dues, as set by the Board of Directors, must be paid annually.

 

III. Board of Directors

1.      The Board of Directors shall consist of 5 members.

2.      Any active member of the association is eligible to run for a position on the Board of Directors.  Active members may only run for one position on the Board of Directors each election.

3.      The Board of Directors shall be elected annually by vote of the active members of the association.  

(a) Ballots can not be counted by anyone running for a position on the Board.

4.      Board members shall serve a term of one year.

5.      If a Board member can not fulfill the term, the vacancy shall be filled by appointment made by the remaining Board of Directors.

 

IV. Officers

1.      The officers of the Board of Directors shall consist of a President, Vice President, Secretary/Treasurer, Course Maintenance Organizer, and Membership Director.

2.      Officers will serve a term of one year.

3.      (a) The President shall preside at all Board meetings, appoint committee members, and perform other duties as associated with the office. 

(b) The Vice President shall assume the duties of the President in the absence of the President and other duties assigned by the President. 

(c) The Secretary/Treasurer shall be responsible for the minutes of the Board meetings, supply copies of minutes at Board meetings, and keep a record of the Association’s finances. 

(d) The Course Maintenance Organizer shall be responsible for maintaining the courses beyond what the Abilene parks department maintains, excluding the ACU Wildcat course. 

(e) The Membership Director shall be responsible for the recruitment, organization and maintenance of the membership of the association. 

4.      All officers shall be willing to help with any necessary additional duties.

 

V.  Committees

            1.  The Board of Directors may appoint standing and ad hoc committees as needed.

 

VI. Meetings

1.      Regular meetings shall be held at least once every 3 months.

2.      Special meetings may be held at any time when called for by the President or a majority of Board members.

3.      Agendas shall be provided at least 2 days in advance of a Board meeting.

4.      Approved minutes of Board meetings shall be made public. 

 

VII. Voting

1.      (a) The presence of a simple majority (i.e., one more than half of the Board members) constitutes a quorum. 

(b) In absence of a quorum, no formal action shall be taken except to adjourn the meeting to a subsequent date.

2.      Passage of a motion requires a simple majority of the Board members present or absent in favor of the motion.

 

VIII. Conflict of Interest

1.      Any member of the board who has a financial, personal, or official interest in or conflict with any matter pending before the Board shall disclose all material facts regarding the possible conflict of interest to the other board members.  The remaining board members will determine whether a conflict of interest exists.  A board member may not discuss or vote on any issue in which he or she has a conflict of interest.  Board members are encouraged to avoid even the appearance of a conflict of interest by making a full disclosure.

 

IX. Amendments

1.      These by-laws may be amended by a two-third vote of Board members present at any meeting, provided a quorum is present and provide a copy of the proposed amendment(s) are provided to each Board at least 7 days prior to said meeting.
